Yes, it must be flat and level. Otherwise, your laminate flooring isn't going to lay flat either. If the holes in your concrete floor and pinhole-sized then you're OK. But if they're bigger than a nickel you'll need to fill them.

How big are the holes ? Just fill them in with some cement patch from the hardware store.Make sure the patches are thoroughly dry and apply a coat of sealant to the floor as a water barrier . Now you can install your new wood floor.

DEFINITELY Make sure the cement flooring is level -- and if the holes in the cement are bigger than pin sized, you are going to have to fill them with concrete filler.
I had several fairly big holes in my cement (the old flooring had to be removed with a jackhammer... nightmare). I poured cement leveler over the entire floor. It's a messy job, but effective. I haven't had any problems with the laminate. If yoiu only have a few holes cement patch should work.
